Saeth Software License

Paid License Grant. If you have a valid, paid, and unrefunded license, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, perpetual, and fully paid-up license to download, install, and use the Software.

This is a per-device license. You may use the Software on the number of devices permitted by your purchase. For example, unless your purchase states otherwise, you may use it on one device at a time. A device must be activated with your license key. You may deactivate a device and activate a different device, subject to the limits of your purchase and to the license remaining valid.

You do not own the Software. We and our licensors retain all right, title, and interest in the Software, including intellectual property rights. This License does not sell the Software to you.

The license is for the Software as made available to you at the time of purchase, including any updates we actually provide for that Software. It is not a right to other products or services we may offer later, such as a subscription product or a cloud-based product.

Free Trial Authorization. If we offer you a free trial and your device is eligible, selecting the required agreement checkbox and then selecting “Continue free trial” grants you a personal, limited, non-exclusive, non-transferable, and non-sublicensable authorization to use the Software for exactly 168 hours. The time at which you select “Continue free trial” is day 0.

A free trial may be used only once per device. A device becomes permanently ineligible for a free trial after a trial has been started or after a paid license has been successfully activated on that device. Deactivating or refunding a paid license, deleting local application data, or uninstalling and reinstalling the Software does not restore trial eligibility.

The free trial does not require a license key, payment method, purchase through Polar, personal data as consideration, or any other consideration. It does not automatically convert into a paid license, and you will not be charged when it expires. When the trial ends, your authorization to use the Software ends unless you activate a valid paid license or receive another authorization from us.

The Software requires an active Free Trial Authorization, a valid paid license, or another authorization that we expressly grant. Paid licenses may require activation and periodic online validation. The Software stores a local trial-eligibility record in macOS Keychain. The record remains after an ordinary uninstall, so deleting local application data or uninstalling and reinstalling the Software does not reset trial eligibility. The Software may deny trial access if the device clock or trial-eligibility record is altered or cannot be reliably verified. You may not share or sell license keys or circumvent or interfere with license, activation, validation, trial-eligibility, or similar controls.

These checks confirm that your license or authorization is valid and, for a free trial, that your device is eligible. They are part of how the Software works. They do not turn this License into a subscription, and we will not use them to require you to move to a later product or pricing model.

If we later make this Software free to use, we may stop requiring a paid license key, activation, or validation. If we do, you may keep using the Software.

Except as required by applicable law, we do not promise continued development, support, or availability. For example, we do not promise future updates, new features, compatibility with later systems, major upgrades, or that we will keep selling or maintaining the Software.

We will provide updates where they can reasonably be expected and where they are required by applicable law.

We may change how we offer the Software and related products or services. For example, we may keep selling this Software as a one-time purchase, stop selling it to new customers, make it free to use, pause or discontinue development, change pricing for new purchases, or offer other options such as a subscription or a cloud-based product, including alongside this Software.

Those changes apply going forward. They do not take away the license already granted to you under the Paid License Grant.

You are not required to buy, switch to, or start using any later product or pricing model, such as a subscription or cloud-based product, in order to keep using the Software you already licensed. We will not replace this one-time license with a different model for copies you have already purchased.

If we make this Software free, you may keep using it. We may then stop operating paid-license checks for that Software.

We will not revoke, disable, or require you to stop using a valid paid license solely because we change our business, our pricing, or how new customers can get the Software or related products.

You may not, except to the extent expressly permitted by applicable law:

• copy, modify, distribute, lease, sell, or sublicense the Software;
• use the Software on more devices than your license allows, or share your license key with others;
• reverse engineer, decompile, or attempt to discover the source code or underlying components of the Software;
• circumvent license keys, activation, validation, or similar controls;
• use the Software without a valid license or authorization; or
• use the Software for any illegal, harmful, or abusive activity.

Third-party components included with the Software are licensed under their own terms, including any notices we provide with the Software. This License does not change those terms.

The Software is provided as is. To the maximum extent permitted by applicable law, we disclaim all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.

The Software may contain bugs, errors, or other issues. We do not guarantee that it will be uninterrupted, error-free, or compatible with your system in the future.

Nothing in this License excludes or limits any warranty, update obligation, or consumer right that cannot lawfully be excluded or limited.

This License continues unless it ends as follows.

You may end it at any time by uninstalling the Software and ceasing use.

We may restrict, suspend, or revoke your paid license or other authorization if we reasonably determine that you have breached this License or our Terms, if your purchase is refunded, or if we must do so to comply with the law or address a serious security risk. For example, we may do so in the case of license sharing, circumvention, or fraud. Where reasonably possible, we will provide notice and an opportunity to correct the breach. Any such action will be proportionate and will not limit mandatory consumer rights.

A refund of your purchase ends the license. After a refund, you must stop using the Software.

A Free Trial Authorization ends automatically when its seven-day period expires. Ending or expiration of a free trial does not affect any cancellation, refund, or other consumer rights relating to a later paid purchase.

A license that is no longer valid on a device, such as after deactivation or because an activation limit has been reached, does not authorize use on that device until it is validly activated again.

Ending this License does not affect rights or obligations that by their nature should survive, including provisions concerning ownership, restrictions, disclaimers, liability, and governing law.

To the maximum extent permitted by applicable law, neither we nor our affiliates or licensors will be liable for any indirect, incidental, special, consequential, or exemplary damages. Our total liability arising out of or relating to the Software will not exceed the amount you paid for the license giving rise to the claim. If the claim arises exclusively from use for which you paid nothing, including a free trial, our total aggregate liability will not exceed €100.

Nothing in this License excludes or limits liability for fraud, willful misconduct, death or personal injury caused by negligence, or any liability or consumer right that cannot lawfully be excluded or limited.

This License is governed by the laws of the Netherlands. If you are a consumer, this does not deprive you of protections granted by mandatory provisions of the laws of the country in which you reside.

We may update this License from time to time. Changes apply only going forward and do not reduce the license already granted to you for Software you have already purchased, except as required by law or as permitted under the termination provisions of this License. Changes will not shorten a Free Trial Authorization that has already started.

You may not assign this License. We may assign it to an affiliate, a subsidiary, or a successor to our business or to the Software. Your consumer rights will not be affected.

If there is a conflict between this License and our Terms & Conditions concerning your right to use the Software under a paid license or Free Trial Authorization, this License controls.
